Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Parasync (“Parasync”, “we”, “us”, or “our”), including our website, application, APIs, and any agents, workspaces, connectors, or services we make available (together, the “Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.
1. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract, to use the Service. The Service is intended for business and professional use.
2. Accounts & organizations
- You must provide accurate information when creating an account and keep your credentials secure.
- You are responsible for all activity that occurs under your account and within organizations you own or administer.
- Organization owners and admins control membership and access within their organization; we are not a party to disputes between members of the same organization.
- Certain plan limits (e.g. the number of organizations you can create, or agents per organization) may apply and are described in-product; we may change these limits with reasonable notice.
3. The Service
Parasync lets you create organizations, configure AI agents within them, and interact with those agents to carry out tasks. Agents act on instructions and data you provide and may call external tools, connected third-party accounts, or language models to do so. Depending on how an agent is configured, it may be:
- Personal — usable only within the creating organization;
- Private — shareable with specific individuals via an invite, or with your whole team;
- Public — a listing tier intended for public discovery, subject to our review; not currently offered while that review process is being built out.
You are responsible for how you configure and use your agents, including the tools, instructions, and connected accounts you grant them access to, and for the consequences of any actions taken with that access.
4. Third-party account connectors
The Service may let you connect a third-party account (such as Gmail or Outlook) to a specific agent, so that agent can take actions on your behalf, such as sending email as you, within that agent’s configuration. By connecting a third-party account, you represent that you are authorized to grant Parasync the access requested (via that provider’s own OAuth consent screen), and you remain solely responsible for any action taken through that connection, including the content of any message sent. You can disconnect a connected account for a given agent at any time; doing so revokes that agent’s ability to act on that account going forward. We are not responsible for the availability, functionality, or policies of the third-party provider itself (e.g. Google or Microsoft), including any changes they make to their APIs that affect the Service.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or third-party right, including intellectual property, publicity, and privacy rights;
- Configure or direct an agent to engage in fraud, spam, harassment, or unauthorized access to systems or data — including using a connected email account to send unsolicited bulk mail;
- Attempt to circumvent access controls, rate limits, sandboxing, or isolation between organizations;
- Upload or generate malicious code, or use the Service to disrupt, overburden, or gain unauthorized access to any system;
- Misrepresent your identity or affiliation, or impersonate any person or entity when configuring or operating an agent;
- Reverse engineer, scrape, or resell the Service, or provide it to third parties as a competing product, without our written consent.
We may investigate suspected violations and take action we deem appropriate, including removing content, disabling an agent or connector, or suspending an account, without prior notice where we believe it is necessary to protect the Service or other users.
6. Your content and data
You retain ownership of the data, instructions, and content you or your agents submit to the Service (“Customer Data”). You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service. We do not claim ownership over your Customer Data, and we do not use your Customer Data to train models for the benefit of other customers.
7. Agent behavior and your responsibility
Agents are configured by you or another organization’s admin and may produce outputs, take actions, or call tools — including sending email through a connected account — based on the instructions, role, and access granted to them. Parasync does not review agent outputs or actions before they are delivered or taken. You are responsible for validating outputs, for the instructions and access you grant an agent, and for any consequences of actions your agents take with that access, including actions taken through a connected third-party account.
8. Fees, billing & the token wallet
- Certain use of the Service, including running agents that consume language-model tokens, is metered and billed against a prepaid wallet balance associated with your account or organization, as configured by an agent’s billing mode.
- You may add funds to your wallet through our payment processor, Razorpay. Amounts are charged in USD or in your local currency where supported, and converted to wallet credits at the rate shown at the time of purchase.
- Wallet credits are generally non-refundable once added, except as required by applicable consumer protection law, or at our discretion in cases of billing error.
- You are responsible for any taxes associated with your use of the Service, other than taxes on our net income.
- We may change our pricing or the token cost of a given model with reasonable notice; changes will not retroactively affect credits already consumed.
9. Intellectual property
The Service, including its software, design, and branding, is owned by Parasync and protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Service, we reserve all rights, title, and interest in the Service. If you provide feedback or suggestions about the Service, you grant us the right to use them without restriction or obligation to you.
10. Third-party services
The Service relies on or integrates with third-party infrastructure, payment, and model providers to operate agents, including the connectors described in Section 4. We are not responsible for the availability, accuracy, security practices, or behavior of third-party services, though we select and configure them with reasonable care.
11. Confidentiality
Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and to use it only as necessary to perform under these Terms.
12. Suspension & termination
We may suspend or terminate access to the Service for accounts or organizations that violate these Terms, pose a security risk, engage in non-payment, or where required by law. You may stop using the Service and close your account at any time; certain data may be retained as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 9, 11, 14, 15, and 17) will survive.
13. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that agent outputs will be accurate, complete, or suitable for any particular purpose.
14. Limitation of liability
To the maximum extent permitted by law, Parasync will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from your use of the Service, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.
15. Indemnification
You agree to indemnify and hold Parasync harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or actions taken by an agent you configured or a connected third-party account you authorized.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — such as an in-product notice or email — before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
17. Governing law & dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising under these Terms will first be attempted to be resolved informally by contacting us; if unresolved, disputes will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
18. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any order forms or plan terms referenced in-product, constitute the entire agreement between you and Parasync regarding the Service.
